1. Definitions & Scope of Agreement
This Terms of Service agreement ("Agreement") constitutes a legally binding contract between the User ("You", "Customer", or "User") and the operators of Qirim ("Service Provider", "We", or "Platform").
By registering an account, signing in, accessing the dashboard, or utilizing the provided RESTful APIs and Webhooks, you explicitly declare that you have read, understood, and agreed to all terms in this document, the Privacy Policy, and the Refund Policy.
Special Clause: Zero-Tolerance Policy on Illegal Activities & Spam
The Platform strictly prohibits any form of unsolicited mass spam, phishing, social engineering, fraudulent schemes, pornographic content, online gambling, prohibited substance transactions, hate speech, or activities violating applicable laws. Accounts suspected of violations will be subject to immediate permanent termination with forfeiture of funds and quotas (no refund), and log data may be submitted to law enforcement.
2. User Eligibility & Account Registration
- Age & Legal Capacity: Users must be at least 18 years old or legally competent to enter into binding legal agreements.
- Identity Authenticity: You must provide true, accurate, current, and complete registration information. Registering with false identities or third-party phone numbers without consent is prohibited.
- One Account Per User: Unless authorized in writing for Agency/Enterprise tiers, each individual or business entity may maintain only one primary account.
3. Security Credentials, API Keys & Access Rights
- Credential Responsibility: You are solely responsible for maintaining the confidentiality of your password, OTP codes, and secret API Key (x-api-key).
- Account Activity: All message dispatch instructions or API calls made using your API Key will be deemed authorized actions performed by you.
- Incident Notification: You must notify our support team immediately if you discover or suspect unauthorized access or credential compromise.
4. WhatsApp Multi-Device Protocol Limitations & Meta Disclaimer
You acknowledge and fully comprehend the operational characteristics of this gateway:
- Platform Independence: Qirim is an independent third-party automation tool and is NOT officially affiliated with, endorsed by, or partnered with Meta Platforms Inc. or WhatsApp LLC.
- WhatsApp Policy Compliance: Users are solely responsible for complying with the WhatsApp Business Policy and Terms of Service.
- Phone Number Status & Deliverability: Although we provide advanced delivery protection tools (Dynamic Spintax Variations, Human Typing Simulation, Adaptive Queue Rate Limiting), phone number restriction or account filtering decisions reside with WhatsApp/Meta systems. The Service Provider offers no guarantee of immunity for bulk spam or unauthorized messaging practices.
5. Subscription Plans, Message Quotas & Billing Terms
- Subscription Cycle: Paid services operate on a prepaid basis according to the selected plan duration (e.g., 30 days).
- Non-Rollover Quotas: Message quotas and AI quotas are allocated per billing cycle. Unused quotas at the end of the period expire and do not roll over.
- Plan Renewal: To maintain gateway and webhook continuity, renewal payments must be completed before the plan expiry date.
6. Service Level Agreement (SLA) & Server Maintenance
We target 99.5% monthly system uptime. However, availability may be affected by:
- Scheduled or emergency server maintenance, communicated in advance via the dashboard or announcement channels.
- Outages at telecom providers, data centers, or global Meta/WhatsApp disruptions.
- Force Majeure events beyond our reasonable control.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service Provider is NOT LIABLE for indirect, incidental, special, consequential, or punitive damages, lost business profits, data loss, or business reputation damage resulting from service use.
- The aggregate maximum liability of the Service Provider for any claim is capped at the amount actually paid by the User to the Platform during the 1 (one) month immediately preceding the claim.
8. Governing Law & Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from this Agreement shall first be resolved through good-faith negotiation within 30 days. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the competent District Court in the domicile of the Service Provider.
